This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Ballast Consulting Group, LLC ("Ballast," "we," "our") governing your use of the Tally application and related services (collectively, "Tally").
1. License Grant
Subject to the terms of this Agreement, Ballast grants you a limited, non-exclusive, non-transferable, revocable license to access and use Tally solely for its intended purpose: managing accounting operations, automating workflows, and accessing connected accounting and operations systems on behalf of authorized clients.
2. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble any part of Tally;
- Use Tally for any unlawful purpose or in violation of applicable regulations;
- Attempt to gain unauthorized access to Tally or its related systems;
- Share your account credentials with unauthorized third parties;
- Use Tally to access data for which you do not have proper authorization.
3. Data Access and Scope
Tally accesses data from connected services including but not limited to QuickBooks Online, Ramp, Bill.com, Stripe, Shopify, Amazon Seller Central, HubSpot, Outlook, Gusto, and Google Sheets. Access is limited to the scope authorized by the connected service administrator at the time of authorization, and to the application-layer allowlists enforced by Tally itself.
4. Intellectual Property
Tally and all related intellectual property are and remain the property of Ballast Consulting Group, LLC. This Agreement does not convey any ownership rights.
5. Termination
Ballast may terminate or suspend your access to Tally at any time, with or without cause, with or without notice. Upon termination, your right to use Tally ceases immediately. You may also disconnect any connected service at any time through the application settings.
6. Disclaimer of Warranties
TALLY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BALLAST DOES NOT WARRANT THAT TALLY WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALLAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF TALLY.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
9. Changes to This Agreement
We may update this Agreement from time to time. Continued use of Tally after changes are posted constitutes acceptance of the revised terms.
